MANAGEMENT COMMENTARY
Signals from filed documents
India is a clear beneficiary, backed by a deep manufacturing base, a skilled workforce and improving trade ties. Inventories normalised across several export markets and retail sentiment improved. Sourcing decisions increasingly reward quality, reliability, sustainability and speed.
Our spinning and fabric expansion is expected to add incremental revenue as the new lines ramp up, with the shift toward processed fabric yielding higher realisations than grey fabric. Modernisation lowers our cost base, while technical textiles, value-added fabric and garments all carry higher margins than commodity yarn. Third, improved quality and productivity.
The Company is now pivoting from transactional trade to long-term partnerships, focusing on premiumisation and sustainability. Future Capacity Expansion Evaluating new spinning capacity calibrated to demand driven by emerging Free Trade Agreements. Recovery in Spinning Spreads Vardhman Textiles Ltd.
We will focus on value-added higher-margin product categories with strong and growing demand. We will convert FTA access into export growth, particularly in the UK, EU and US apparel markets. And we will differentiate on sustainability, meeting accelerating demand for recycled, traceable and low-footprint products.
Your Company has also enhanced its fabric processing capacity at Vardhman Fabrics, Budhni, Madhya Pradesh, by 31 million meters p.a. The new processing capacity commenced commercial production on 7th March, 2026. Further, during the year, your Company has also enhanced its spinning capacity by commissioning 35,000 additional spindles.
Margins felt the lag between raw-material costs and fabric pricing, which typically runs from about two to three months. The Company managed this through selective, negotiated price increases. With headroom still available in the newly commissioned lines, the near-term focus is on raising utilisation before committing to the next phase of expansion.

The garment division's competitive advantage is rooted in what sits behind it. Backward integration into fabric and yarn gives the Company a degree of control over quality, cost, lead time and product development that standalone garment manufacturers cannot replicate. Advanced manufacturing infrastructure, proven execution discipline and long-standing customer relationships provide the operational credibility.
A meaningful share of our recent capital expenditure has been directed toward environmental and social improvement, reflecting a strategy in which growth and responsibility advance together. We will increase the contribution of premium and specialised products across every vertical, including through our entry into technical textiles. This new, higher-margin growth sector extends our platform beyond apparel into engi
